These Terms of Use ("Terms") are a legal agreement between you and Top Flow Lifestyle LLC, a Utah limited liability company doing business as DanManTools ("DanManTools," "we," "us" or "our"). They govern your use of danmantools.com and every DanManTools website, app and tool, including DanMan Leads™, DanMan Reach™ and the DanManTools DanMan TakeOff™ (together, the "Services").

By visiting the site, creating an account, clicking "I agree," or using any Service, you accept these Terms and our Privacy Policy. If you do not agree, do not use the Services. If you use the Services for a company, you confirm that you are authorized to accept these Terms for that company, and "you" includes that company.

Paid plans are also governed by the DanManTools Subscription License Agreement & Waiver. If that agreement conflicts with these Terms, the Subscription License Agreement controls.

You must be at least 18 years old and able to form a binding contract. The Services are business tools and are not intended for children.

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable license to access and use the Services for your own internal business purposes. Free, trial or demo access may be changed or ended at any time.

You agree not to:

• copy, modify, translate or create derivative works of the Services, their code, design, text, templates or workflows;
• reverse engineer, decompile, disassemble or try to extract source code, except where the law expressly allows it despite this restriction;
• resell, rent, lease, sublicense, publicly host, frame or redistribute the Services, or offer them as a service to others;
• remove or alter any copyright, trademark or ownership notice;
• use the Services to build a competing product, or copy their features, look and feel;
• share your login, license key or access link with anyone who is not an authorized user;
• use the Services to send spam, unlawful texts or calls, or messages that violate CAN-SPAM, the Telephone Consumer Protection Act (TCPA), do-not-call rules or other marketing laws;
• upload content you have no right to use, or content that is unlawful, defamatory, infringing or harmful;
• scrape, overload, probe or interfere with the Services or their security; or
• use the Services in any way that breaks the law or harms others.

The Services and everything in them, including software, source code, designs, layouts, text, graphics, templates, prompts, workflows, databases, documentation and the names DanManTools™, DanMan Leads™, DanMan Reach™ and DanManTools DanMan TakeOff™, are owned by Top Flow Lifestyle LLC or its licensors and are protected by copyright, trademark, trade secret and other laws. All rights not expressly granted to you are reserved. Using the Services does not transfer any ownership to you.

You keep ownership of the business data you enter into the Services, such as leads, contacts, notes, photos and plans ("Your Data"). You give us a limited license to host, store, process and display Your Data only as needed to provide and support the Services. You are responsible for Your Data. That includes having the right to collect and use any contact information you store, and getting any consent needed before you email, call or text someone.

Some website editions of our tools store Your Data only in your own web browser on your device. In those editions, you are responsible for making backups. Clearing your browser or changing devices can erase data we never had.

If you send us ideas, suggestions or feedback, we may use them freely without paying you or owing you anything.

Some features use artificial intelligence (AI), including third-party AI services that you may connect with your own API key. AI output, such as takeoffs, estimates, quantities, proposals, emails, posts, research and summaries, may be inaccurate, incomplete or out of date. You must review and verify all output before you rely on it or send it to anyone. Takeoffs and estimates are aids only. They are not engineering, code compliance, legal, tax or financial advice. Always confirm measurements, code requirements, pricing and rebates yourself. You are responsible for how you use any output.

The Services may link to or work with third-party services, such as email providers, AI providers, map services, advertising platforms and GoDaddy hosting. Your use of those services is governed by their own terms, and they are responsible for them, not us. You are responsible for any fees they charge, including AI usage billed to your own API key.

DanManTools is an independent business. Unless we clearly say so in writing, we are not affiliated with, endorsed by or sponsored by any contractor, manufacturer, supplier, platform or other company whose name appears in the Services or in content users enter. Such names are used only for identification.

THE SERVICES AND ALL CONTENT AND OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY. THIS INCLUDES ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, OR THAT DATA WILL NOT BE LOST.

TO THE FULLEST EXTENT ALLOWED BY LAW, TOP FLOW LIFESTYLE LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES. THIS INCLUDES LOST PROFITS, LOST REVENUE, LOST BIDS OR JOBS, LOST DATA AND BUSINESS INTERRUPTION, EVEN IF WE WERE TOLD THEY WERE POSSIBLE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) $100.

You will defend, indemnify and hold harmless Top Flow Lifestyle LLC and its members, managers, employees and agents against any claim, loss, liability, fine or expense, including reasonable attorneys' fees, arising from:

• Your Data;
• messages you send using the Services;
• your use of any output; or
• your breach of these Terms or of the law.

We may suspend or end your access at any time if you breach these Terms, if required by law, or to protect the Services or others. You may stop using the Services at any time. Sections 4 through 7 and 9 through 16 survive termination.

If you believe material on the Services infringes your copyright, send a notice that meets 17 U.S.C. § 512(c)(3) to our designated agent: DanManTools, Attn: Copyright Agent, team@danmantools.com, 2137 E Logan Avenue, Salt Lake City, Utah 84108. We may remove material and end the accounts of repeat infringers.

Informal resolution first. Before filing any claim, contact us at team@danmantools.com and try in good faith to resolve it for 30 days.

Arbitration. If the dispute is not resolved, it will be decided by binding individual arbitration administered by the American Arbitration Association under its applicable rules, held in Utah or by video. Either party may instead bring an individual claim in small claims court. Either party may also seek an injunction in court to protect intellectual property.

Class action waiver. Claims may be brought only individually, not as a plaintiff or class member in any class, collective or representative action.

Opt-out. You may opt out of arbitration by emailing team@danmantools.com within 30 days after you first accept these Terms.

These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law rules. Subject to the arbitration clause, the parties consent to the exclusive jurisdiction of the state and federal courts located in Utah.

• Entire agreement. These Terms, the Privacy Policy, the Legal Notices and any Subscription License Agreement you sign make up the entire agreement about the Services.
• Severability. If any part of these Terms is found unenforceable, the rest stays in effect.
• No waiver. If we don't enforce a term, that does not waive it.
• Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, sale or reorganization.
• Electronic signatures. Clicking "I agree," checking an acceptance box or typing your name is your electronic signature. It has the same effect as a handwritten signature under the federal E-SIGN Act and the Utah Uniform Electronic Transactions Act.

We may update these Terms. We will post the new version with a new effective date. If a change is material, we will give reasonable notice, for example on the site, in the app or by email. If you keep using the Services after a change takes effect, you accept it.
